Vireo's third deal in a week would make it the biggest dispensary chain in America
An all-stock deal for Planet 13 gets Vireo to roughly 265 stores across 15 states — assembled almost entirely out of other people's distress.

Vireo Growth agreed on July 27 to buy Planet 13 outright in an all-stock deal — 0.015383618 Vireo subordinate voting shares for each Planet 13 share, a 24% premium to Friday's close and 16.6% over the 20-day VWAP. It brings in 36 dispensaries including Planet 13's Las Vegas SuperStore, roughly 45,000 square feet of active Nevada cultivation and processing, up to 2.3 million square feet of expandable Nevada capacity, and 33 Florida medical stores. Stack that on Vireo's other pending acquisitions and the company says it lands near 265 dispensaries across 15 states, which would make it the largest U.S. operator by store count.
This is Vireo's third acquisition announced in about a week. On July 20 it agreed to take up to $35 million of Cannabist Company assets across five states — the same Cannabist that four days later filed to shutter two Vineland, New Jersey grow sites and cut 86 jobs. Read the three together and it looks less like an expansion strategy than a salvage operation: Vireo is assembling the country's largest store network out of companies that ran out of room.
Notice what isn't in the deal. Cash. Planet 13 holders get paper, and the only hard number that moves if it collapses is a $1.8 million termination fee. That is what consolidation looks like when debt markets stay shut to plant-touching businesses — you buy with equity because equity is the one thing you can still print. It also means Planet 13 shareholders are swapping a known asset for a bet on somebody else's integration work.
Nothing has closed. The deal still needs a Planet 13 shareholder vote, an effective SEC Form S-4, Canadian Securities Exchange listing approval, and cannabis regulatory sign-off in every state involved — any one of which can stretch the timeline or reshape terms. Neither company said what happens to the Planet 13 brand, which in Las Vegas is arguably the asset being bought. For everyone else the read is simpler: store count is consolidating quickly in Nevada, Florida and Illinois, and the operators doing the consolidating are paying in shares.
